Henkel AG & Co. KGaA acquires 100% of the shares in Sonderhoff Holding GmbH, based in Cologne. Orth Kluth Rechtsanwälte provided legal advice on this transaction on the side of the buyer.

Sonderhoff Holding GmbH produces, in particular, system solutions for foamed sealants made of polyurethane or silicone. These are used, for example, to protect against moisture and dust in filters or household appliances. The company recently generated annual sales of EUR 60 million with around 280 permanent employees worldwide.

Henkel AG & Co. KGaA is expanding its expertise in sealants through the acquisition of Sonderhoff Holding GmbH, thereby strengthening its leading position in the Adhesive Technologies business (packaging and consumer goods adhesives).

The parties have agreed not to disclose the purchase price. The closing of the transaction is, among other things, subject to approval by the competition authorities.
