Orth Kluth advises Markus Schmitz Holding GmbH on the sale of its operative subsidiaries to the French TESCA Group

Tuchfabrik Willy Schmitz, a family-owned company rich in tradition and headquartered in Mönchengladbach, Germany, has been in business since 1890. The company specializes in cloth and fabric production as well as textile finishing and is a major supplier of textiles for premium automobile manufacturers as well as through its sister company OGUS Netze- u. Wirkwaren GmbH & Co. KG in Oberndorf, it specialises in the production of camouflage nets and automotive interiors as well as the lamination of composite fabrics.

The Willy Schmitz cloth factory and OGUS have about 150 employees and generated a turnover of over 34 million euros in 2018.

The TESCA Group, headquartered in Paris, is a global manufacturer of seat fabrics and seat components for the automotive industry. The company employs 3,500 people at 22 locations worldwide.

Through the acquisition, the TESCA Group is expanding its portfolio and strengthening its market position as an automotive supplier in the textile sector.

The parties have agreed not to disclose the purchase price. Orth Kluth has legally advised Markus Schmitz Holding GmbH during the whole sales process.
